Affiliate Agreement
1. About this agreement
This agreement governs participation in the OnStudy affiliate program. By applying to the program, or by using an affiliate link we have issued to you, you accept these terms.
Our Terms of Service and Privacy Policy also apply to you.
2. Who we are
OS Strategy Ltd., trading as OnStudy, incorporated in the Province of Alberta, Canada. Business incorporation number 733205900, Registry ID 2024240059, registered at 27 Sunrise Crescent SE, Calgary, Alberta T2X 3A1, Canada.
3. Definitions
- Affiliate — you, once we have approved your application.
- Affiliate Link — the unique tracked web address we issue to you.
- Referred Customer — a person who reaches our website through your Affiliate Link and then buys a Course.
- Qualifying Sale — a purchase by a Referred Customer that has been paid in full, has not been refunded, and is not excluded under section 7.
- Commission — the amount payable to you for a Qualifying Sale.
4. Joining the program
Participation is by application and at our discretion. We may decline an application without giving reasons.
You must be at least 18 years old and legally able to enter into this agreement. You must give accurate information about your identity and your promotional channels, and keep it up to date.
Your affiliate account is personal to you and may not be transferred or sold.
5. How referrals are tracked
Referrals are tracked by a cookie set when a visitor follows your Affiliate Link. Unless your affiliate dashboard states a different period, the tracking period is 30 days from the click.
If a customer follows links from more than one affiliate, Commission is credited to the most recent link followed before purchase.
Tracking depends on technology we do not fully control. Cookies can be blocked, cleared or expire, and customers may switch device or browser. We do not guarantee that every referral will be tracked, and we are not liable for referrals that tracking fails to record.
The records in our affiliate system are the basis on which Commission is calculated. If you believe they are wrong, tell us within 60 days and we will investigate in good faith.
6. Commission
Your Commission rate is shown in your affiliate dashboard. We may set different rates for different Courses, campaigns or affiliates.
Commission is calculated on the amount actually received from the Referred Customer, excluding taxes, payment processing fees, shipping and any discount applied.
Commission is earned only on a Qualifying Sale. It becomes payable once the refund window in our Refund Policy has closed for that sale.
We may change Commission rates by giving you at least 30 days' notice. A change does not affect Commission already earned.
7. When commission is not payable
- On your own purchases, or purchases by your household, your employees, or entities you control.
- On a sale that is refunded, charged back or cancelled. If Commission has already been paid, we may deduct it from your next payment.
- On free courses, free materials and free trials.
- On a purchase by someone who was already our customer or already in an active sales conversation with us before your referral.
- Where the referral was generated in breach of section 11.
- Where we reasonably conclude the referral is fraudulent or artificially generated.
8. Payment
We pay monthly, for Commission that became payable in the preceding month, subject to a minimum payout of USD 100. Amounts below the minimum roll over.
You are responsible for giving us correct payment details. We are not liable for money sent to details you supplied incorrectly.
Bank charges and currency conversion costs on the payment are borne by you unless we agree otherwise in writing.
If you do not log in or respond to our contact for 12 consecutive months and a balance remains, we will make reasonable efforts to reach you before treating the account as dormant.
9. Taxes
You are responsible for your own taxes on Commission, including registering with your tax authority where required and paying any income tax, sales tax, GST/HST or VAT due.
You will provide any tax documentation we reasonably need. We may withhold amounts where required by law.
10. How you may promote us
You may promote us on your own website, blog, newsletter, social media accounts, videos and podcasts, provided the audience is your own and reached lawfully.
You must describe our Courses accurately and consistently with what our own pages say.
11. What you must not do
You must not:
- Send unsolicited bulk email or messages. All email promotion must comply with Canada's Anti-Spam Legislation and any equivalent law applying to your recipients.
- Promise outcomes we do not promise — including guaranteed income, guaranteed employment, guaranteed sales of artwork, or guaranteed results of any kind.
- Bid on our brand terms in paid search — including "OnStudy" and close variants — or run ads that appear to be from us.
- Register domain names, social media handles or app names containing our brand or close misspellings of it.
- Use cookie stuffing, forced clicks, hidden frames, adware, browser extensions that inject links, or any other technique that records a referral the customer did not knowingly make.
- Post your Affiliate Link on coupon, cashback or discount aggregator sites without our written permission.
- Promote us on sites containing illegal content, hate speech, adult content, or content that infringes someone's rights.
- Present yourself as OnStudy, or as an employee, agent or official representative of OnStudy.
- Offer your own discount, rebate or cash incentive funded from your Commission without our written permission.
12. Disclosure obligations
Where you promote us, you must clearly and conspicuously disclose that you receive a commission. The disclosure must be visible before or at the point the reader encounters your link — not buried in a footer or behind a "read more" link.
This is required by advertising and competition rules in Canada and in many other countries. Compliance is your responsibility, and it applies regardless of the platform.
13. Use of our brand
We grant you a limited, non-exclusive, revocable licence to use our name and the logos and banners we supply, solely to promote us under this agreement.
You must not modify our logos, and you must not use our brand in any way that suggests we endorse your other products or services. The licence ends automatically when this agreement ends.
14. Your relationship with us
You are an independent contractor. This agreement does not create employment, partnership, joint venture, franchise or agency between us.
You have no authority to make any commitment, representation or warranty on our behalf, or to enter into any contract in our name.
You decide how, when and where you promote us. You bear your own costs.
15. Confidentiality and data
Commission rates, conversion statistics and any non-public information we give you are confidential. You may not disclose them without our written consent.
We do not give you the personal data of Referred Customers. If you collect personal data from your own audience, you are the party responsible for it and must comply with the privacy and anti-spam laws that apply to you.
16. Suspension and termination
Either of us may terminate this agreement at any time, for any reason, on written notice.
We may suspend your account immediately, without notice, where we reasonably suspect fraud, artificial referral generation, or a breach of section 11.
On termination your Affiliate Links stop working and your brand licence ends. Commission properly earned before termination remains payable, unless termination was for fraud or for breach of section 11, in which case we may withhold unpaid Commission relating to the affected referrals.
Sections 9, 15, 17 and 19 survive termination.
17. Liability and indemnity
We provide the affiliate program as it is. We do not guarantee any level of traffic, conversion, earnings or availability of the tracking system.
To the maximum extent permitted by law, our total liability to you under this agreement will not exceed the Commission payable to you in the six months before the event giving rise to the claim.
You will indemnify us against claims, losses and reasonable legal costs arising from your breach of this agreement, from your promotional activity, or from content you publish.
18. Changes
We may change this agreement. Material changes take effect 30 days after we notify you, or immediately if a change is needed to comply with the law. Continuing to use your Affiliate Link after a change takes effect means you accept it.
19. Governing law
This agreement is governed by the laws of the Province of Alberta and the laws of Canada applicable in Alberta, and the courts of Alberta have jurisdiction over disputes arising from it.
